Terms of Service

1. Description of Service

ClemCut is a subscription-based service that provides automated video editing capabilities through the Clem plugin for Adobe Premiere Pro. The Service includes the ClemCut website (for account management, billing, and plugin downloads) and the Clem plugin, which users download and install on their own machines via the provided installer.

2. Accounts

• You must provide a valid email address to create an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You may not share your account with others or allow multiple people to use a single account.
• You must be at least 16 years of age to use the Service.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscription Plans & Billing

• ClemCut offers paid subscription plans: Starter ($9.99/month), Creator ($19.99/month), and Studio ($39.99/month).
• All payments are processed by our Merchant of Record, Lemon Squeezy (Lemon Squeezy, Inc.). By subscribing, you also agree to Lemon Squeezy's Terms of Service.
• Subscriptions are billed monthly and renew automatically until cancelled.
• Each plan includes a monthly allocation of processing minutes. Unused minutes do not roll over to the next billing cycle.
• Definition of Processed Minutes: The minutes allocated in your subscription plan correspond directly to the total duration of the raw video footage you submit for processing. For example, processing a 2-hour (120-minute) raw video will deduct exactly 120 minutes from your account balance. This deduction is based on the source footage length, not the length of the final edited sequence.

4. Cancellation & Refund Policy

• You may cancel your subscription at any time through the Billing page on the ClemCut website.
• Upon cancellation, you will retain access to your plan's features until the end of your current billing period.
• Subscriptions are non-refundable. No partial or full refunds will be issued for any billing period, including the current one. By subscribing, you acknowledge and agree to this policy.
• Compatibility Notice: The Clem plugin requires Adobe Premiere Pro version 26.2 or newer, and it exclusively supports MP4 video formats. We do not offer refunds for users who purchase a subscription but are unable to use the plugin due to having an older, unsupported version of Premiere Pro or incompatible video formats.
• After your billing period ends, your account will revert to an inactive state with no processing minutes.

5. Acceptable Use

You agree not to:

• Reverse-engineer, decompile, or disassemble any part of the Service or the plugin.
• Attempt to bypass usage limits, authentication, or security measures.
• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Resell, redistribute, or sublicense access to the Service.
• Interfere with or disrupt the Service's infrastructure.
• Use automated scripts, bots, or scrapers to interact with the Service.

6. Intellectual Property

All content, code, design, trademarks, and technology associated with ClemCut are the exclusive property of ClemCut. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You do not acquire any ownership rights.

7. Your Content

You retain full ownership of all video files, project files, and creative content that you use with the Clem plugin. We do not claim any rights over your content. As stated in our Privacy Policy, we do not access, store, or view your media files.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied.
• We do not guarantee that the Service will be uninterrupted, error-free, or free of bugs.
• We are not liable for any loss of data, lost profits, lost work, corrupted project files, or any indirect, incidental, special, or consequential damages arising from your use of the Service. This includes, but is not limited to, any damage caused by plugin crashes, Premiere Pro instability, failed renders, or interrupted processing sessions.
• You acknowledge that video editing software can be unpredictable, and you are solely responsible for saving your work and maintaining backups of your project files.
• Our total liability to you for any claim arising from the Service shall not exceed the amount you paid to ClemCut in the three (3) months preceding the claim.

9. Service Availability

• We strive to maintain high availability but do not guarantee 100% uptime.
• We may temporarily suspend the Service for maintenance, updates, or unforeseen technical issues without prior notice.
• We reserve the right to modify, discontinue, or sunset any feature of the Service at any time.

10. Account Termination

• You may delete your account at any time through the Settings page.
• We may suspend or terminate your account if you violate these Terms, abuse the Service, or engage in fraudulent activity.
• Upon termination, your right to use the Service ceases immediately. Any outstanding subscription fees remain non-refundable.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of the Service after changes constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.
